Andrea Salas joined Joele Frank, Wilkinson Brimmer Katcher in February 2006. She provides counsel and support to companies involved in friendly mergers and acquisitions, unsolicited takeovers, proxy contests, management changes, litigation support and other special situations. Ms. Salas also has experience working with companies involved in proxy contests against dissident shareholders.
Her transaction experience includes U.S. Steel�s acquisition of Lone Star Technologies, ev3�s merger with FoxHollow Technologies, Agere Systems� merger with LSI Logic, Houston Exploration�s merger with Forest Oil, Public Storage�s acquisition of Shurgard Storage Centers, Engelhard�s sale to BASF, Stewart & Stevenson�s sale to Armor Holdings, and Catterton Partners� buyout bid with Bain Capital for OSI Restaurant Partners.
Her litigation experience includes representing NTP Incorporated, which successfully litigated its claims against BlackBerry-maker Research in Motion, and advising ADVO, which recently settled a lawsuit with Valassis to successfully complete a merger. She has also assisted a number of clients with shareholder activism and proxy contests including Ceridian Corporation against Pershing Square, Houston Exploration against JANA Partners, Nabi Biopharmaceuticals against Third Point, and Arbinet against Alex Mashinksy.
Additionally, Ms. Salas assists a number of clients on an ongoing basis in developing and maintaining investor relations programs including Morgans Hotel Group, Catterton Partners, Granite Construction, Arbinet and Hillenbrand Industries.
Prior to joining the firm, Ms. Salas worked as an Account Executive for Ogilvy Public Relations� Corporate/Investor Relations practice. During her time there, Ms. Salas provided strategic counsel and support to both private and publicly held clients including DHL, Invest in France, American Chemistry Council (ACC) and Baidu.
