Barb Gustaferro concentrates her practice in employment benefits, with a particular focus on executive compensation matters.
Barb has extensive experience in all aspects of executive compensation. She is experienced in the design and drafting of nonqualified deferred compensation plans (defined contribution and defined benefit) and related rabbi trusts; executive employment agreements; change-in-control and severance plans; and perquisite arrangements. Barb also advises public and privately-held companies in the design and administration of U.S. and international equity and equity-based plans, and assists clients in implementing employee stock purchase plans.
Barb has considerable experience in federal tax law issues impacting executive compensation arrangements including Code section 409A compliance, golden parachute payment restrictions and the limits on the deductibility of compensation. She counsels senior executives, boards of directors and compensation committees with respect to their fiduciary obligations and corporate governance issues. |
