Mr. Brown's practice focuses on tax-exempt bond financings (private activity and governmental) and general corporate matters. He has served as nationally recognized bond counsel on tax-exempt financings under a wide range of Michigan municipal and private activity bond enabling statutes. He has also served as counsel to numerous underwriters, private borrowers, letter of credit banks and trustees on tax-exempt bond transactions. He has been listed as a nationally recognized bond attorney in the Directory of Municipal Bond Dealers of the United States (the "Red Book") for more than 25 years.
Experience
Extensive practice as bond counsel, underwriter's counsel and borrower's counsel on private activity issues (industrial development bonds and qualified 501(c)(3)bonds) issued through the Michigan Strategic Fund, numerous Michigan local economic development corporations, state and local hospital authorities, and conduit issuers in various other states (including Ohio, Indiana, Wisconsin, Illinois, Pennsylvania, North Carolina, Georgia, Florida, Tennessee, Mississippi and New Mexico).
Experience with wide variety of innovative financing structures, complex structured financings, refundings and advance refundings.
Bond counsel on competitively sold and negotiated local municipal bond issues of counties, cities, townships, villages, building authorities and road commissions for diverse infrastructure projects.
Extensive experience with tax increment financing by Tax Increment Finance Authorities, Downtown Development Authorities, Local Development Finance Authorities and Brownfield Redevelopment Authorities.
Developed program of financings for numerous local district health department and community mental health board facilities throughout Michigan using "on behalf of" issuers (pursuant to Rev. Rul. 63-20 and Rev. Proc. 82-26).
Representation of underwriters, borrowers, credit enhancers and trustees on private activity and governmental bond issues.
Representation in controversies, audits and litigation arising out of tax-exempt bond transactions, and service as expert witness.
Note counsel, underwriter's counsel and letter of credit bank counsel on taxable variable rate demand obligations issued by wide variety of for-profit entities, including commercial real estate developers and manufacturing companies, and development of master trust indenture program for taxable VRDO programs.
