Description of Practice:
Brian is the Managing Partner of Allen Matkins and serves as Chairman of the firm's Management Committee. He has extensive experience in mergers and acquisitions, corporate securities, executive employment, and consulting agreements. Brian has acted as lead counsel in the following transactions: a merger in the healthcare industry involving a private company and two NYSE listed companies; the merger of two of the leading hospitals in Southern California; the merger of an ASE listed REIT into a private company; the merger of an ASE listed REIT into a large institutional investor; the sale of an energy company; the sale of a distribution company; and the purchases and sales of several other businesses in several other industries. In the area of corporate finance, Brian has represented numerous issuers and selling shareholders in IPOs, secondary offerings, and private placements. Brian has counseled all levels of senior management in the structuring and negotiation of employment and consulting agreements.
Educational History:
Brian received his Bachelor of Arts in economics from Stanford University and his Juris Doctorate degree from the University of California, Los Angeles, School of Law, where he graduated near the top of his class and served on the Law Review. |
