Charlie Congdon is a partner in the firm's Corporate and Securities Practice Group. An experienced corporate lawyer with a wide range of experience in general corporate counseling, mergers and acquisitions and corporate finance, Charlie's practice includes particular emphasis in governmental and tax-exempt finance, particularly for nonprofit organizations, and health care and health care-related transactional work.
Governmental and Tax-Exempt Finance. Since joining the firm in 1984, a substantial portion of Charlie's practice has been devoted to governmental and tax-exempt finance. His experience has included all facets of the issuance of bonds by state and local governments and their agencies and instrumentalities, including the issuance of general obligation bonds for local governments, governmental revenue bonds, and, most particularly, qualified 501(c)(3) bonds for nonprofit institutions, including colleges and universities, hospitals and other health care institutions, and other charitable institutions. His practice has included the representation of underwriters, issuers and institutional bond purchasers, as well as acting as bond counsel.
Health Care and Health Care Finance. Charlie's practice includes a wide range of corporate and financing transactions for nonprofit, health care and health care-related organizations. In particular, Charlie has represented health care institutions and systems in acquisitions, divestitures and joint ventures. Charlie's recent experience includes representing a national, religious-affiliated health care system in a divestiture to a for-profit provider, requiring, among other things, proceedings before the Attorney General of the Commonwealth of Pennsylvania and the Pennsylvania Orphan's Court. In addition, Charlie's experience in tax-exempt finance includes a wide range of taxable and tax-exempt capital financings for hospitals and other health care facilities, including skilled nursing and assisted-living facilities and financings, to develop life-care facilities. Charlie is the coauthor of Tax-Exempt Financing for Health Care Providers, an outline prepared for hospital executives and other nonspecialists of issues related to the issuance of tax-exempt bonds for health care institutions.
Representation of Underwriters. Charlie has particular experience in the representation of underwriters and the securities law and disclosure aspects of tax-exempt bonds. He has served as underwriter's counsel in tax-exempt and taxable underwritings of exempt securities for national and regional investment banks. He has also represented issuers, underwriters and purchasers in non-public offerings involving the placement of tax-exempt bonds with institutional investors.
