Christoph Rothenfusser is a partner in the Global Corporate Department of Milbank, Tweed, Hadley & McCloy LLP. He joined Milbank in 2004 as part of the team founding Milbank's Munich office. He focuses on corporate advisory, equity capital markets and public M&A transactions ("Aktien- und Konzernrecht, Umwandlungsrecht, �bernahmerecht") which includes corporate reorganizations and takeovers. He advised numerous listed companies on all aspects of corporate law, takeover law and the law of capital markets and also worked for clients in the context of actions of minority shareholders and appraisal proceedings following corporate reorganizations.
In the recent past he advised, inter alia, Dresdner Kleinwort and Calyon on the financing of Macquarie's takeover bid for Techem AG, Morgan Stanley in relation to the conversion of Wacker Chemie into a stock corporation as part of its IPO, HVB Capital on their investment in the pay-TV platform PREMIERE Star, and ProSiebenSat.1 Media AG in connection with the acquisition of the SBS Broadcasting Group as well as during the tender offer by, and the intended merger with, Axel Springer AG and during the subsequent takeover of ProSiebenSat.1 by KKR and Permira. His transaction experience also includes the PIPE transaction regarding PUMA AG by Mayfair, the investment fund of the Herz family, as well as the sale of Honsel and the sale of a 37 %-interest in BERU AG by The Carlyle Group. Furthermore he advised The Carlyle Group in relation to the tender offer for, and the subsequent take private of, Edscha AG, IXOS Software AG in the context of its takeover by OpenText Corp, Nemetschek AG with respect to a spin-off of material parts of its operating business to subsidiaries and mediantis AG in the context of a share-buy-back programme in the amount of 40 % of its share capital.
Christoph Rothenfusser was born in Munich in 1967 and studied physics and law at the universities of Freiburg and Munich. He holds a doctorate degree in law from the University of Munich and is a graduate in physics from the University of Freiburg. Before joining Milbank, he was an attorney with Freshfields Bruckhaus Deringer in their Munich office.
