Daniel R. Czerwonka is an Associate with the firm�s Bank and Finance Practice Group in Los Angeles. Mr. Czerwonka has extensive transactional practice focusing on securitizations and structured finance products including commercial real estate financings, CDOs, CLOs, CBOs, and other derivative and synthetic products. He has also assisted in structuring transactions, drafting and negotiating the range of deal documentation with opposing counsel, executing closings, forming bankruptcy-remote special purpose entities and preparing and reviewing insolvency opinions.
In the area of structured commercial real estate finance, Mr. Czerwonka�s experience includes review and negotiation of substantive nonconsolidation opinions, deal structures, organizational documents and loan agreement provisions, forming bankruptcy-remote special purpose entities, and preparing and reviewing insolvency opinions.
In connection with derivatives and synthetics, he has supervised deals from inception to close as lead counsel, drafting and negotiation offering memoranda and indentures, management agreements, swaps and hedges, various opinions, ancillary agreements and closing documents.
Mr. Czerwonka also has experience in bankruptcy litigation during which time he represented Enron Corp. as Special Counsel for Trade and Energy Issues in that landmark Chapter 11 bankruptcy case, advising and working extensively with General Counsel, energy traders and analysts to unwind billions of dollars in both asset-based and financial energy contracts, including swaps and complex derivatives, and negotiating multi-million dollar settlements with numerous counterparties.
While in law school, Mr. Czerwonka was a law clerk for the Office of the Corporation Counsel of the City of Syracuse, New York. In college he interned for U.S. Representative Anne M. Northup in Washington, D.C.
Mr. Czerwonka earned his J.D. at Georgetown University Law Center and was a staff member of the Georgetown Journal of Law and Public Policy. He earned his B.A. in Political Science at Xavier University.
