Description of Practice:
David Burton is a partner in the firm's Los Angeles office. His practice concentrates on all aspects of real estate development, and he has particular expertise in finance, multi-use developments, and management agreements. Expert in loan negotiations, Mr. Burton has successfully counseled clients in the making and restructuring of hundreds of millions of dollars of loans involving all aspects of acquisition, construction and takeout financing, including such features as letters of credit, guarantees, mixed collateral and shared appreciation. As part of his practice in representing developers and owners of major office and mixed-use projects, he has crafted numerous complex operating agreements such as CC&Rs and reciprocal easement agreements. Mr. Burton has particular expertise in negotiating asset management agreements, development management agreements and similar fee based arrangements with the goal of aligning the incentives of all parties to facilitate mutually beneficial relationships. Clients also rely on Mr. Burton to structure and close multi-asset and multi-state portfolio transactions. For years, he has served as lead counsel in acquiring and disposing of billions of dollars of real estate and performing and nonperforming loans. Mr. Burton has coordinated and worked with attorneys, title companies, and other professionals across the nation in order to negotiate, investigate, and close successful portfolio transactions of all sizes. With years of experience structuring and closing sophisticated real estate transactions, Mr. Burton contributes a value-added perspective on legal counseling that clients expect and deserve.
The Journal of Property Management has published an article by Mr. Burton on the topic of controlling risk in fee management agreements. Mr. Burton is a frequent lecturer and panelist before the State Bar of California, the Los Angeles County Bar Association and business groups regarding real estate financing and workouts. Leading developers and institutional owners look to Mr. Burton to structure creative and comprehensive operating and management agreements.
