David Cifrino is a partner in the law firm of McDermott Will & Emery LLP based in the Firm's Boston office. He is a member of the Firm's Corporate Department and co-head of its Public Companies group. David represents financial services, industrial, high technology, consumer products and other companies, public and private (from start-ups to Fortune 50), in securities, merger, acquisition, disposition, commercial, strategic, governance and executive compensation matters. He represents clients in both public and privately placed equity and debt financings under the Securities Act of 1933 and counsels public companies with respect to the full range of securities compliance issues under the Securities Exchange Act of 1934.
David is actively involved in all aspects of the federal corporate reform law known as the Sarbanes-Oxley Act and related SEC and stock exchange rulemaking with respect to financial and other disclosure, executive certifications, auditor independence, insider securities transaction reporting, executive compensation, director independence and requirements for audit, compensation and governance committees.
David has extensive knowledge and experience in public offerings of securities, having represented companies and underwriters in numerous IPOs and in follow-on and secondary public offerings, some including both U.S. and foreign tranches involving equity, debt and hybrid securities, such as convertible notes and preferred stock, underwritten by major national, international and regional underwriting firms. He also has experience negotiating and obtaining regulatory relief from the Division of Market Regulation of the Securities and Exchange Commission regarding next generation cross-border trading systems. David also has an active international practice, representing foreign companies in financing and other transactions. He was recently named a Massachusetts Super Lawyer in corporation finance by Boston Magazine.
David is admitted to practice in Massachusetts and before the United States Supreme Court. He is a member of the Federal Regulation of Securities committee and the International Securities Matters and Employee Benefits, Executive Compensation and Section 16 subcommittees of the American Bar Association's Business Law Section. He is also a member of the Society of Corporate Secretaries & Governance Professionals, membership chairman of its Eastern New England Chapter and member of its Securities and Corporate Practices Committees.
David speaks and writes on securities law matters and has published articles appearing in the Boston Globe, Venture Capital Journal, Mass High Tech, the Financial News of London and Buyouts. He is also the lead author of The Public Company Primer - A Practical Guide to Going Public, Raising Capital and Life as a Public Company, published and distributed worldwide by RR Donnelley Financial and the chapter on international securities transactions included in Securities Laws published by the Illinois Institute for Continuing Legal Education. Prior to entering the practice of law, David held several positions in broadcast journalism, including as a producer and manager of the Boston bureau of CBS News where he was responsible for reporting, producing and writing news stories appearing on various national programs, including the CBS Evening News and Face the Nation. In 1984, David was nominated for a National News and Documentary EMMY Award by the National Academy of Television Arts and Sciences.
