David Flanigan has concentrated his practice on representing growing profitable middle market business entities in a variety of capacities. In addition to serving as a strategic advisor and counselor to the decision makers of these entities, he provides specialized legal services to these entities in connection with mergers, acquisitions, leveraged recapitalizations, and other sales transactions; venture capital and private equity financings, private placements, and other capital raising transactions; the formation of legal entities such as limited liability companies, corporations, strategic partnerships, and joint ventures; and other related matters. Finally, Mr. Flanigan provides general legal representation services to these entities regarding matters such as tax, securities, intellectual property, contract review, and incentive compensation. Recently he has completed several complex transactions for his clients, including the sale of several senior living facilities to a nationally-known acquirer in the industry; the leveraged recapitalization of a national payment solutions provider in the healthcare industry; and the formation of and raising of capital for several private equity funds. In the past few years he has handled transactions with transaction values ranging from a few million dollars to several hundred million dollars. Mr. Flanigan also provides general representation services to a variety of successful growing businesses, including a national real estate development company that is developing residential communities such as starter homes for young families, luxury residence town homes, and active adult communities; and a rapidly growing environmental consulting firm with offices nationwide.
