David C. Roulston is a member of the Firm's Real Estate and Finance Department, where he advises clients ranging in size and complexity from large investment management groups to small businesses on real estate and finance issues arising in business acquisitions and sales. He has broad and extensive transactional experience and proven skills as a senior corporate counsel, negotiator and business strategist.
In his practice with the Firm, Mr. Roulston regularly provides the real estate expertise on multi-disciplinary mergers and acquisitions teams staffed by major law firms, and has been the primary real estate expert on teams that:
Acquired and financed a specialty foods business, with owned and leased distribution centers and retail locations in the Midwest and Canada;
Acquired a nine-plant manufacturer of automotive and heavy-duty truck brake and transmission assemblies;
Acquired and financed a 4-plant manufacturer of automotive specialty parts;
Re-financed a specialty fabrics manufacturer of specialty fabrics with two manufacturing plants in the Southeast, and acquired for this client three additional manufacturing facilities in the Southeast to expand the client's business lines and capacity.
Before joining Klehr Harrison, Mr. Roulston was for nearly ten years a senior corporate counsel and risk manager with the Wilmington Trust Company, in Wilmington, Delaware, where he primarily advised that New York Stock Exchange-company's Corporate Client Services ("CCS") business - an industry leader delivering corporate fiduciary and capital market services to major corporate, government and private clients world-wide from its headquarters in Wilmington, Delaware and locations in New York, Nevada, Europe and the Cayman Islands. Among his accomplishments he lists:
Acquisition of Europe's premier corporate/special purpose entity manager based in London, with locations throughout Europe, inaugurating CCS' entry into the securitization services and corporate management services market in Europe;
Sale of a portfolio of branch locations in Maryland as part of a business re-structuring;
Settlement of land management and intra-family disputes arising from management of 100+-acre family-run farmland in rural Pennsylvania;
Completion of the purchase of the Company's historic headquarters;
Participation on and chairmanship of unsecured creditor's committees as a trustee for bondholders of distressed high-yield debt;
Successful defense and settlement of multi-million dollar class action investor lawsuit.
David's versatility as both a legal technician and skilled business advocate and leader were first demonstrated while as a Senior Counsel and Section Leader (Real Estate and Subsidiaries) in the Legal Division of the Resolution Trust Corporation ("RTC"), the federal savings and loan agency established to manage the savings and loan failures of the early 1990's. During his years of service with that organization he was a vital member of a four-person executive task force responsible for large and often controversial transactions, reporting directly to the Regional Vice President. He was also instrumental in developing the organization's real estate auction and seller-financing programs, and took an active role in many significant multi-asset sale projects. |
