David works with clients regarding transaction advisory, restructuring and turnarounds, as well as general business performance issues.
Professional Experience
Prior to joining Huron, David was a Vice President with Banc of America Securities LLC, in Syndicated Debt Capital Markets. In this position, he played a critical role in structuring and syndicating more than 30 highly leveraged and investment grade debt transactions, acting as the lead agent.
During his career, David has served clients in industries including, but not limited to, media, telecommunications, technology, transportation, retail and gaming/leisure. Debt capital raising purposes included acquisitions, leveraged buy-outs, recapitalizations, working capital, commercial paper back-up, refinancing, and project financing, all for public and private corporations. Transactions executed were fully underwritten and on a best-efforts basis with deal sizes ranging from $75 million to $3.5 billion.
David has also worked with several clients in renegotiating and amending their existing credit agreements for substantial covenant and pricing adjustments benefiting both issuers and lenders.
Previously, David worked at Price Waterhouse Coopers as an auditor working with companies and organizations in the industries mentioned above, in addition to, sports management, government contracting, healthcare, insurance, and not-for-profit industries. Services conducted included assurance, due diligence, control testing, and compliance.
Representative examples of David�s engagement experience include:
Vital member of syndication team that executed three substantial debt capital transactions over two years, totaling more than $2.6 billion. Enabled a private independent telecommunications firm to strategically acquire a series of wireless markets through acquisitions and joint ventures, ultimately leading to an IPO and trading over the NASDAQ.
Team structured and syndicated a $1.875 billion bank debt transaction for a major movie studio based upon the valuation of its film library.
Team structured and syndicated a $3.4 billion bank deal for a large gaming company with a structure rarely seen in the bank market, involving raising commitments for a bolt-on loan facility not effective until a date substantially in the future.
Team structured and syndicated a $215 million bank deal for a diversified world-wide gaming company which provided the company with increased financial flexibility and liquidity. The team refinanced an existing financing agreement, which would have caused the company to liquidate substantial assets if left in place. The deal was part of a total recapitalization of the company.
Conducted a critical mass of amendments to credit agreements for companies in the gaming/leisure industry due to the effects on the industry from the September 11, 2001 attacks.
