David Samuels Biography :

David G. Samuels joined the Firm as a partner in 2006. He is the co-chair of the Firm�s Tax Exempt Organizations Practice Group, which was launched in May, 2006, and is also a member of the Firm�s Litigation Department, its Employment Practice Group and its Tax Exempt Real Estate Practice Group. Mr. Samuels has extensive experience representing numerous and varied public charities and private foundations, including social service agencies, grant-making foundations, mental health facilities, educational organizations, religious institutions, and other philanthropic organizations. His clients have included the Dr. Robert C. Atkins Foundation, Gateway Counseling, Greenpoint Development Corporation, Grand Street Settlement, Horticultural Society of New York, Jewish Association for Services for the Aged, National Council of Jewish Women, New Horizon Counseling Center, Polytechnic University, Social Science Research Council, the YWCA of the City of New York, and Young Adult Institute. Mr. Samuels is a recognized expert on a wide range of issues involving tax-exempt and charitable organizations, including nonprofit compensation, governance, fiduciary duty, self-dealing and conflict of interest. He has frequently represented individuals and organizations which are targets of investigations and inquiries from government agencies regulating charitable organizations (including, in particular, the New York State Attorney General). He also deals with the New York Attorney General on regulatory matters including sales, mergers, dissolutions, and cy pres applications requiring regulatory and court approval. Mr. Samuels is the chair of the Nonprofit Organizations Committee of the New York City Bar Association. He has chaired and participated in a number of continuing legal education and accounting education programs on nonprofit issues, including in his prior capacity as co-chair of the Nonprofit Organizations Committee of the New York County Lawyers� Association. Mr. Samuels is the lead editor and co-author of a treatise, Nonprofit Compensation, Benefits, and Employment Law, and he has written extensively on nonprofit issues. In addition to counseling nonprofits, Mr. Samuels is also an experienced civil and appellate litigator and employment lawyer. Mr. Samuels was the Deputy Chief of the New York State Attorney General�s Charities Bureau from 1987 to 1995. He was previously a partner at Perlman & Perlman, LLP, a Manhattan law firm specializing in the representation of nonprofit organizations, and before that was a partner at Butler, Fitzgerald & Potter A Professional Corporation, a boutique civil litigation firm. Mr. Samuels is admitted to practice in the state and federal courts in New York.
