David L. Finkelman concentrates in mergers and acquisitions, advising both purchasers and sellers in negotiated transactions, acquirers and target companies in hostile acquisitions, and incumbents as well as insurgents engaged in proxy fights. He also represents the special committees of outside
directors regarding the board of directors of target companies. He has participated in numerous corporate reorganizations both outside of and in bankruptcy proceedings.
Mr. Finkelman has extensive experience in a range of corporate finance matters. He has represented issuers as well as underwriters in both public and private offerings of debt and equity securities. His representations also have included:
A major life insurance company in six successive acquisitions of asset management companies having over $35 billion in aggregate assets under management, including funds managed for institutional and individual clients and registered investment companies. As a result, the client now has over $60 billion in assets under management;
One of the largest independent refiners and marketers of petroleum products in its merger for stock valued at $7 billion of a major integrated petroleum company; and
A NYSE-listed company in six hostile tender offers and related financings, resulting in four successful acquisitions over a four-year period and an increase in revenues from $35 million to over $2 billion.
