In doing so, he has developed a national reputation in structuring hospital-physician joint ventures and other health industry transactions. David�s experience allows him to devise strategies solve complex problems and ensure compliance with applicable laws (such as the Stark and anti-kickback statutes) while helping his clients meet their business objectives. Representative Experience Structured and negotiated a Pennsylvania regional hospital�s acquisition of a large medical practice, including the purchase of a medical office building and electronic medical record. Developed and implemented a cutting-edge cardiovascular-services venture between 13 Texas cardiologists and a major regional hospital. Served as lead counsel for the acquisition by a tax-exempt integrated system of a 150-physician group practice, including an 80-bed hospital owned by the physicians. Advised a North Carolina hospital system on a physician-hospital big box ambulatory center. Developed a hospital-physician imaging-services joint venture for a Montana hospital, including extensive analysis of Medicare reimbursement and tax-exemption issues. Implemented clinical co-management arrangements between cardiology practices and two Nebraska hospitals, under which the physicians serve as operations managers of the hospitals� cardiovascular service lines. Analyzed federal fraud-and-abuse regulations for a leading international manufacturer of medical devices. For a large group of Rocky Mountain orthopedic surgeons, restructured an ambulatory surgery center venture so as to comply with the ASC safe harbor provision of the federal anti-kickback statute. Advised 15 neurosurgeons on merging their group practices, including antitrust analysis and guidance. Completed the acquisition of a Montana hospital for a multi-state integrated delivery system. For a Virginia hospital system, orchestrated the implementation of joint endoscopy-lab ventures, including development of the transaction structure and completion of a comprehensive legal and regulatory analysis. |
