Dean Grabelle is counsel in the firm�s Corporate and Securities Practice Group. Dean concentrates his practice in banking, private equity, corporate finance, mergers and acquisitions and business counseling.
Banking. Dean routinely structures, documents, negotiates and closes a broad array of commercial loan transactions, both secured and unsecured, including cash flow financings, asset-based loans, acquisition financings and real estate loans. He acts as counsel to both borrowers and lenders, including many national banks. Representative transactions include:
a $250 million syndicated credit facility to a construction materials supplier (counsel to agent);
a $45 million club loan to a telecommunications company (counsel to borrower); and
a $23 million strategic loan by a company to its business partner in connection with a management buyout (counsel to lender).
Private Equity. Dean regularly represents mezzanine funds in connection with debt and equity investments in their portfolio companies. He also acts as borrower�s counsel for buyout funds in connection with senior and subordinated debt facilities used to finance acquisitions. Representative transactions include:
a $3.5 million investment in a manufacturer in the mat, matting and specialty flooring market (counsel to mezzanine fund);
a $27.5 million senior credit facility and a $10 million subordinated loan in connection with the acquisition of a manufacturer of specialty millwork (counsel to buyout fund); and
a $95 million senior credit facility and a $33 million subordinated loan to a portfolio company in connection with a leveraged recapitalization (counsel to buyout fund).
Corporate Finance. Dean represents issuers, investors, and other interested parties in other types of finance transactions involving debt, equity, and hybrid securities, including venture capital investments, securitizations, private investment in public equity (PIPE) transactions, and other private placements, including Regulation D offerings. Representative transactions include:
a $2.6 million round of venture capital financing to a Web site design company (counsel to issuer); and
a $12 million PIPE secured convertible note financing of a biotechnology company (counsel to hedge fund).
Mergers and Acquisitions. Dean represents public and private companies in mergers, acquisitions, divestitures and other corporate transactions, including asset and stock deals, leveraged buyouts and recapitalizations. Representative transactions include:
a $10.7 million management buyout of a technology solutions company (counsel to buyer); and
a series of transactions involving the sale by a public company of assets in its leveraged lease portfolio, including commercial aircraft and a coal preparation plant in the $5 million to $150 million range (counsel to seller).
Business Counseling. Dean advises clients on commercial contracts, corporate governance and other matters pertaining to the formation and ongoing operation of their businesses.
In General. Dean graduated cum laude from Duke University in 1992 with degrees in economics and public policy studies. Dean received his law degree from the School of Law at the University of Pennsylvania in 1995 where he was a senior editor of the Journal of International Business Law. Following law school, Dean served as law clerk to the Honorable Gloria M. Burns of the United States Bankruptcy Court for the District of New Jersey. Dean is admitted to practice law in New Jersey and Pennsylvania. |
