Deborah J. Ruosch is a partner in the Firm's Global Corporate Department, resident in the Los Angeles office.
Ms. Ruosch assists clients in a broad range of corporate transactions. She represents public and privately-held companies, investment banks and private equity funds in public offerings, private financings, mergers and acquisitions and other sophisticated transactions. Ms. Ruosch also counsels issuers and holders of distressed debt securities in transactions that are designed to deleverage distressed companies pursuant to voluntary exchanges of debt. She also provides ongoing advice on corporate governance and other matters to a boards of directors and special committees of public and private companies.
Ms. Ruosch has handled public equity offerings involving issuers such as Station Casinos, Isle of Capri Casinos, Hard Rock Hotel, Eldorado Resorts, Silver Legacy Casino Resorts, Stater Brothers, Obagi Medical Products, GeoLogistics Corporation, Horseshoe Gaming, Maidenform, Regal Cinemas and Harveys Casinos.
Ms. Ruosch's M&A experience includes transactions involving Fertitta Colony/Station Casinos, Ares/Samsonite, Oaktree/Edwards Cinemas, Hollywood Casinos/Casino Magic, KGen/Complete, Babcock & Brown/Crescent Ridge, Station Casinos/Ameristar, Station Casinos/Harrah's, Trace Holdings/Xantrex, OCM/Cannon, Eldorado/Shreveport, OCM/Spirit Airlines, OCM/Healthsouth.
