Practice Experience
Deborah is a transactional attorney. She primarily represents small to mid-sized, privately held, emerging growth companies in the areas of real estate, secured transactions, intellectual property, regulatory compliance, mergers and acquisitions, and general commercial law. Deborah's transactional experience includes the purchase, sale, leasing and licensing of real estate, intellectual property and company assets, as well as various types of secured transactions representing both lenders and borrowers.
Deborah also served as the Chief Legal Officer for a privately-held, venture backed, eCommerce company. In her capacity as CLO, she negotiated, documented and closed three private funding rounds, as well as bank lines of credit, equipment leases and software licenses. She was also responsible for negotiating and documenting all vendor, partner and customer contracts. Primary among her responsibilities was the development and implementation of a regulatory compliance program to ensure the company's compliance with the Fair Credit Reporting Act, the Equal Credit Opportunity Act and the Fair Housing Act.

Lender's counsel in the negotiation and documentation of $7 million credit facility used for the acquisition by members of a golf course and club in Douglas County, Colorado. The Credit facility included funds for acquisition, working capital, facilities improvement and financing of individual members' capital contributions (2004).
Lender's counsel in the negotiation and documentation of $10.6 million construction loan to hotel owner for the reconstruction of hotel in Vail, Colorado which contained a conversion to permanent financing (2004).
Lender's counsel in the negotiation and documentation of $10.3 million acquisition, development and construction loan for residential real estate developer in Elbert County, Colorado which included master loan documents for development and vertical construction of homes (2004).
Developer's counsel in the acquisition, development and leasing of multiple parcel property for the commercial development of medical offices in Douglas County, Colorado (2004).
Lender's counsel in the negotiation and documentation of $7.4 million construction loan to commercial developer in Breckenridge, Colorado which converts to a mini-permanent loan after completion of development (2003).
Company counsel in the negotiation and documentation of $13 million in venture capital financing for privately-held, eCommerce company (2001).
Company counsel in the negotiation and documentation of $4.25 million in convertible debt financing (2000).
Lessee's counsel in the documentation of various lease and operating agreements for the development of a multi-million dollar fixed based operation at Centennial Airport in Douglas County, Colorado (2000).
