Represented large provider of premium movie services on cable television and satellite platforms in the implementation of a broadband delivery platform over the internet, including negotiation and preparation of software development agreements, license agreements and services agreements for project management, client applications, customer care, technical support services, media management and publishing, user interface, web hosting, technology customizations, billing and monitoring services.

Represented companies of all sizes, including publicly-traded companies, in stock and asset acquisitions and dispositions, mergers, reorganizations and restructurings.

Represented companies engaged in international businesses in transactions involving the secondment of domestic and foreign employees to affiliated companies.

Represented companies in various domestic and international contract and commercial transactions, including on-line rebate program, distribution agreements, consulting agreements, services agreements and employment agreements.

Represented companies in connection with organizational matters and ongoing business and commercial matters, including the preparation of commercial contracts, including procurement, licensing, non-disclosure, employment, indemnification and other agreements.
