Dennis F. Connolly is a member of the Securities Law Practice Group of Godfrey & Kahn, S.C., where he specializes in securities and corporate law with expertise in public and private securities offerings, mergers and acquisitions, SEC compliance and reporting, advising boards of directors and management on general corporate and fiduciary matters, and representation before the SEC and the NYSE. Mr. Connolly graduated, with high distinction, from the University of Virginia with a B.A. in English, Phi Beta Kappa. He attended the University of Wisconsin Law School receiving his Juris Doctor with honors and is a member of the Order of the Coif. Mr. Connolly is a member of the American Bar Association, the Wisconsin Bar Association and has been admitted to practice before the Federal District Court for the Western District of Wisconsin.

Representation of public companies in responding to the requirements of the Sarbanes-Oxley Act of 2002, including preparation of board committee charters, corporate governance guidelines, codes of ethics and participation in the disclosure controls and procedures process. Representation of the state's largest bank holding company headquartered in Wisconsin in connection with its acquisition of four bank holding companies ranging in size from $342 million to $2 billion in consolidated total assets. Representation of the world's largest producer of carbonless paper and North America's largest producer of thermal paper in connection with the employee buyout of its foreign parent, including a $107 million Rule 701 offering of common stock to an ESOP pursuant to a no-action letter obtained on behalf of the company, a $250 million 144A offering of senior subordinated notes, and a follow-on Exxon Capital exchange offer.
Representation of a world leader in the staffing industry in connection with a 144A offering of $435 million aggregate principal amount at maturity of zero coupon convertible debentures. Ongoing representation of Section 13(a) and Section 15(d) registrants in connection with their reporting obligations under the Securities Exchange Act of 1934, including preparation of Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, and proxy statements.
