Edward P. Christian is a partner in the law firm of McDermott Will & Emery LLP based in the Firm�s New York office. He is a member of the Corporate Department. Ed has extensive experience representing national and international clients with domestic and cross-border financial activities, involving private, syndicated, project and structured transactions. He assists investment fund, investment bank, bondholders and banking clients with loan, investment, joint venture, an mergers and acquisition-related transactions.
His practice includes assisting clients involved in the transportation, energy and capital markets sectors as well as other complex and multi-currency financial transactions.
Ed has significant experience with insolvency related transaction matters, representing bondholders, investment funds, and other institutional and private investors and creditors in large Chapter 11 reorganizations including World Com, FLAG Telecom, US Airways, United Air Lines, Air Wisconsin, Hawaiian Airlines, Atlas Air, Delta Air Lines, Northwest Airlines, Comair, and Refco, among others. In addition, he advises clients in other formal and out-of-court business and financial restructurings that involve evaluation, negotiation, and documentation of financial transactions.
In the transportation finance area, Ed assists clients with purchasing, selling and leasing commercial aircraft, shipping containers, and other transportation-related equipment and services, with particular emphasis on multi-jurisdictional and capital markets financial transactions.
In the energy finance area, he assists bondholders, financiers, and sponsors on large energy construction, operation, and capital markets financing and acquisition transactions involving private, public, and independent power producers.
He recently served on the Uniform Commercial Code Committee of the State Bar of California which reviews and advised on issues concerning the Uniform Commercial Code and related legislation.
Ed regularly speaks at local and international conferences on topics involving commercial aircraft finance, capital markets, structured finance, project finance and insolvency. He also published an article titled Adding Collateral Realization Financing to Enhanced Equipment Trust Certificates: An Argument for the Collateral Realization Credit Facility and Rating Agency Endorsement Thereof, Airfinance Journal, A Supplement: 2005 Guide to Aviation Lawyers (March 2005).
While at the University of Southern California School of Law, Ed was the Staff Editor of the Southern California Interdisciplinary Law Journal, and he participated in an externship with Hon. John E. Ryan, U.S. Bankruptcy Court of the Central District of California.
Prior to law school, Ed served as a Lieutenant and Naval Aviator in the United States Naval Reserve.
Ed is admitted to practice in California and the District of Columbia.
