Mr. Kracov counsels clients on the design, implementation and operation of employee benefit and executive compensation programs. In addition, he provides advice to clients on compliance with the federal and state securities law aspects of stock-based compensation programs. Mr. Kracov also advises clients on matters relating to employment and human resources law.
Mr. Kracov is experienced in the general corporate and securities representation of privately-held and publicly-traded companies with particular emphasis on initial public offerings and mergers and acquisitions. Mr. Kracov has served as counsel to a number of national trade associations, providing advice on general corporate matters and the establishment and maintenance of tax-exempt status. He frequently represents clients on matters before the Internal Revenue Service and the Department of Labor. Mr. Kracov has also advised corporate clients on a variety of federal tax issues relating to operational matters as well as the tax consequences of mergers and acquisitions.
