Jerry Jenkins is a principal in the firm's Corporate, Securities & Tax Group. His experience covers a broad array of corporate issues, including the formation of corporations, partnerships, limited liability companies, foundations and other not-for-profit entities; mergers, acquisitions and dispositions; compensation planning; buy/sell agreements; and ownership transition planning. He advises clients from institutions, venture capitalists and other investors to individual entrepreneurs involved in start-ups. He also has extensive experience in documenting and negotiating contracts.
In addition, Mr. Jenkins counsels clients on a variety of business and tax planning issues. He advises clients on the federal and state income tax aspects of business transactions and investments, and he has created and implemented structures that minimize tax costs in a manner consistent with business and management objectives. He has represented a variety of clients, including U.S. business entities, international entities, exempt organizations and individuals focusing on flow-through entities (partnerships, limited liability companies, cooperatives and foreign flow-through entities).
Mr. Jenkins is a frequent author and lecturer on corporate and tax issues such as financing small businesses, choosing the right business entity and foreign company structures. Some of his corporate articles and presentations include:

Mr. Jenkins also heads the firm's Information Technology & E-Commerce Law Group. He has worked closely with both Web-based and traditional companies that are deploying e-commerce and Internet strategies. He advises clients on a variety of electronic security and privacy issues, electronic communication and contracting, Web site development, intellectual property and non-competition agreements, and numerous data ownership issues. Mr. Jenkins has negotiated and documented a variety of transactions, including software licensing and development agreements, technology transfer agreements, advertising agreements between content providers and Web hosts/ISPs, intellectual property distribution agreements, confidentiality agreements, and outsourcing agreements. He has also drafted policies governing e-mail, phone mail, Internet access and Web site development. Mr. Jenkins has monitored discussions and served as a panelist on several technology-related subjects and is a frequent lecturer on information technology issues. He presented a seminar in 2004 entitled, "Office Outsourcing" to ACA International and a seminar in 2002 entitled "Telecom Contracts" to the Small Law Department Committee of the ACCA. He launched the Chicago Cybersecurity Roundtable with the discussion, "Computer Security: Protecting Yourself in an Unruly World" (November 2001). He was also a presenter for the Federal Reserve Bank in several cities in 2001 on the topics "Essentials of Computer Security Assessment" and "Fundamentals of Privacy and Security in a Banking Environment." He presented "Current Issues Relating to HIPAA Proposed Security Regulations" HIPAA Awareness and Compliance Education Workshop (2001); "Managing Collateral Consequences of the Privacy Rules Imposed on Financial Institutions," Institute International Research (2000); and "The Law of the Internet: Jurisdiction," National Business Institute (2000). As adjunct professor of law at John Marshall Law School, he has taught courses on the security and privacy aspects of transnational data flows.
