Gil Arie's corporate practice has a strong emphasis on emerging business clients, as he advises startup founders and investors on company formation and on their rights in relation to each other as well as to company management and employees. Much of his work with emerging companies, as well as with established public and private companies, focuses on equity and debt financing transactions, and on general corporate and business matters. That includes advice and assistance with public offerings and the related public reporting requirements and securities filings.
Reflecting his substantial international experience, Gil helps early-stage and mature foreign companies operating in the U.S. to structure and form business operations. He assists these and other companies with domestic and cross-border corporate mergers and acquisitions, asset purchases, reorganizations and establishment of international operations. Gil also advises on forming investment funds, including offshore entities
Before joining Foley Hoag, Gil practiced for four and one-half years with one of the largest business and corporate law firms in Israel. In addition to his general corporate counseling, he represented domestic and foreign clients in a variety of issues, including structuring of foreign investments in Israel, forming and acquiring local subsidiaries, developing multi-national joint ventures, structuring domestic and cross-border mergers and acquisitions and asset purchase transactions, and completing equity and debt corporate finance transactions.
