Harris C. Siskind is a partner in the law firm of McDermott Will & Emery LLP based in the Firm's Miami office. Harris is a member of the Firm's Corporate Department, where his practice focuses on mergers & acquisitions, private equity transactions, private fund formation and securities.
Harris has handled many complex transactions, including private equity acquisitions and divestitures, public and private company financings, Securities Exchange Act reporting for public companies, public securities offerings, and private equity fund formation and hedge fund formation. As part of representing private companies, Harris has handled a variety of transactions, including acquisitions, divestitures, asset-based credit facilities, corporate governance issues, and capital raising. For example, Harris represented a private equity firm in the sale of a portfolio company for a sale price in excess of $175 million. Harris has also represented a private company in its acquisition of a custom electronics manufacturer, including the financing of the acquisition through an asset-based credit facility and a preferred stock issuance.
In addition to his representation of private entities, Harris has represented numerous public companies in connection with filing reports required under the Securities Exchange Act, including Forms 10-K, 10-Q and 8-K, as well as Schedule 14A Proxy Statements and Schedule 14C Information Statements. Harris has also represented public companies in connection with PIPE financing transactions collectively exceeding $130 million. Harris' public company representation also involved many secondary offerings of securities.
