Business and Tax Planning, Mergers and Acquisitions. Bert assists clients at every stage of the business life cycle, from the formation of the business entity and obtaining of capital, through the company's operations and growth strategies, including acquisitions, mergers and reorganizations. Bert regularly consults clients concerning operational matters such as employment agreements, non-compete agreements, aircraft acquisitions, deferred compensation agreements, tax structuring of real estate transactions, stock options, as well as on-going operations tax planning.
Healthcare. Bert works extensively on business transactions and regulatory issues for health care providers, and has a broad array of experience in working with physicians, physician groups, ancillary service providers, and other health care entities. Bert frequently represents health care clients with respect to drafting and negotiating contracts, fraud and abuse and Stark II compliance, licensing and other regulatory issues.
Estate Planning. Bert assists clients in managing state and federal estate tax issues, including, among others, lifetime giving plans involving life insurance trusts, family limited partnerships, living trusts, grantor retained annuity trusts, complex tax planning wills and revocable trusts, durable powers of attorney and living wills.
Federal Tax Disputes. Bert represents clients before the IRS in tax controversies and regularly represents clients in appeals of proposed assessments of federal income, estate, gift and excise taxes.
State and Local Tax. Bert provides representation in state and local tax disputes and provides tax planning services for publicly and privately held corporations, partnerships, nonprofit organizations, and individuals to reduce state and local tax burdens. He regularly negotiates with state and local tax officials, obtains tax rulings and represents clients in audit and litigation matters, including, among others, property taxes, sales taxes, franchise taxes and excise taxes.
