Holly Roth is a partner in the law firm of McDermott Will & Emery LLP based in the Washington, D.C. office. She provides legal representation, litigation and advice with respect to a broad range of federal, state and local government contract, subcontract and related regulatory compliance issues. In the government contracts arena, Holly has extensive experience with GSA Schedule contracts, commercial contracts, firm fixed price contracts and cost plus contracts. In particular, Holly provides advice and guidance with respect to the regulations that govern technology transactions with the federal government. Holly also provides legal representation and advice with respect to domestic and international commercial contracts.
From a transactional perspective, her experience includes conducting due diligence with respect to the acquisitions of government contractors. She provides advice and guidance with respect to regulatory compliance issues unique to federal government contractors and the valuation of government contracts that may be the subject of such acquisitions.
From a litigation perspective, Holly has successfully brought, and defended against, bid protests at the General Accountability Office (GAO) as well at the federal, state and local agencies. She has successfully represented clients before State and Federal Boards of Contract Appeals. She has also successfully represented clients before the suspension and debarment officials of various federal agencies. Holly has substantial experience in defending against False Claims Act claims brought against government contractors and investigations conducted under the Inspector General Act.
Holly advises and represents clients in negotiating and resolving matters of contract interpretation and performance and the regulatory compliance associated with federal government contracts. Her representation and advice has proved instrumental in preventing wrongful terminations of prime contracts by federal government agencies and wrongful terminations of subcontracts by prime contractors.
Holly advises small and large businesses with respect to the application of the Small Business Administration's regulations governing government contractors. She has pursued, as well as defended against, Freedom of Information Act requests. She provides advice and representation with respect to the regulations that govern the ethical conduct of government employees and post-government employment statutory restrictions. She provides seminars on the ethical obligations of government contractors and their employees.
Her experience also includes providing advice to corporate clients, arbitration and litigation in the areas of commercial law, intellectual property and employment. Holly has significant experience in drafting, reviewing and negotiating domestic and international contracts and licenses for high technology corporations in the areas of computer software and hardware, biotechnology, environmental remediation and ultraviolet light technology.
Holly is a member of the American Bar Association, the Virginia Bar Association and the DC Bar Association. She is the author of "Money for the Locals: Companies in Disaster Areas Deserve More Business from Government," which was published in Legal Times on November 7, 2005.
She is admitted to practice in the District of Columbia and Virginia and before the U.S. District Court for the Eastern District of Virginia, the U.S. District Court for the District of Columbia, the U.S. Court of Federal Claims and the U.S. Supreme Court.
