Ian Goldstein Biography :

Ian Goldstein is a partner in the firm's Corporate and Securities Practice Group and is a co-leader of the firm's Emerging Company and Venture Capital practice team. His practice focuses on counseling entrepreneurs, established companies, angel investors and venture capital firms in the formation, financing and operation of new and established businesses and in a broad range of transactional matters.

Entrepreneurs; New Businesses. Ian provides a broad range of legal services to entrepreneurs and new businesses in a variety of industries, often functioning in a strategic "outside general counsel" role. He works closely with founders to improve their business plans, establish the company's business, capital structure and founders' arrangements, and connect with sources of financing. He also counsels clients on strategic business matters throughout a company's life-cycle and represents and advises clients in critical business transactions, including seed, angel and venture capital financings, acquisitions and divestitures, and joint ventures, strategic alliances, and other technology partnerships. Ian's clients include emerging companies at all stages of development who are breaking new ground in the following industries: life science, media, web 2.0, clean technology and information technology.

Venture Capital. Ian has significant expertise in counseling angel investors, venture capital firms and corporate venture arms of large corporations in connection with early and late stage preferred stock and convertible debt financings and in connection with exit events involving portfolio companies. He regularly advises his investor clients on corporate governance, strategic transactions and other critical business matters involving their portfolio companies. Ian also has significant experience in venture fund formation, including advising limited partners in connection with investments in venture capital and private equity funds. Recent representative transactions include the representation of a large private foundation in connection with several investments in venture capital and private equity funds, the representation of a venture capital fund in connection with the sale of a portfolio company and a related preferred stock investment in the acquirer, the representation of an angel investor in connection with restructuring an existing strategic alliance and investment transaction, and the representation of a corporate venture arm of a large public corporation in connection with a preferred equity and debt investment in a strategic technology partner.

Acquisitions, Divestitures and Strategic Transactions. Ian has represented purchasers and sellers in a broad range of acquisition and divestiture transactions and has represented clients in structuring and negotiating complex multiparty strategic partnership and joint venture transactions. These transactions have involved both public and private companies in a variety of industries, including the telecommunication, media, biotechnology, software, retail and health care industries. Recent representative transactions include the representation of Sensors Unlimited, a maker of optical imaging devices, in its auction sale to Goodrich Corporation, the representation of a group of individuals in connection with the acquisition of Camelback Ski Mountain in the Poconos and the related sale/leaseback financing of such acquisition with Spirit Finance Corporation, and the representation of a large public corporation in connection with the formation and financing of several multiparty programming joint ventures.

In General. Ian received his law degree from Rutgers University, where he graduated with honors and was an editor of the law review, and graduated from Rutgers College with a degree in economics. He is admitted to practice law in New Jersey and Pennsylvania.
