Ira C. Gubernick represents clients in all aspects of transactional matters, including mergers and acquisitions, public and private financings, real estate, joint ventures, business entity formation and general corporate counseling. Having served as a senior executive, corporate general counsel and secretary of both public and private companies, as well as an associate for a large, international law firm, he brings a unique and personal perspective to his representation of clients.
He has extensive "board room" experience and advises clients on corporate governance, board advisory and strategic planning matters. In the role of general counsel, he has also advised clients with respect to regulatory matters, human resources issues and litigation management.
He is known for his problem solving abilities, judgment and his drive to achieve positive results for his clients. His practice entails representing public companies, private companies and entrepreneurs.

In the healthcare field, he represented private and public companies in significant transactions, including:
$1.4 billion acquisition of The Multicare Companies;
$590 million acquisition of Vitalink Pharmacies;
$250 million acquisition of Meridian Healthcare;
$235 million acquisition of Geriatric & Medical Companies;
$65 million acquisition of National Health Care Affiliates;
$60 million acquisition of Neighborcare Pharmacies;
$60 million acquisition of McKerley Health Care Centers;
$22.5 million sale of four Indiana eldercare centers;
Numerous Hospital/Eldercare Center joint ventures including with Crozer-Keystone Health System
Sale of 14 eldercare centers owned by affiliates of Care-One
Preparation and oversight of an over $200+ million lawsuit;
$1.2 billion+ bank credit facilities;
$300 million+ in separate public debenture offerings;
$75 million synthetic lease facility;
Development of new corporate headquarters facilities for Genesis Health Ventures.
In the real estate field, he represented ElderTrust, a healthcare Real Estate Investment Trust (REIT). Significant transactions, included:
$200 million Initial Public Offering of ElderTrust;
$185 million sale of ElderTrust to Ventas
Creation of agreements covering property acquisitions, management, disposition, and lease. |
