Ms. Kilmer is a Shareholder in Brownstein Hyatt Farber Schreck's Corporate & Business Department. Based in the Denver office, she focuses her practice in five principal areas: private equity, venture capital and corporate and commercial finance; mergers and acquisitions; lease and leveraged lease financing transactions; debt and equity restructurings; and general business counseling. Ms. Kilmer has significant experience representing real estate developers in connection with the formation of joint ventures and other strategic alliances, private placements, and other forms of financing for the acquisition and development of residential, resort and commercial properties in the United States and Mexico. Ms. Kilmer also represents private equity and venture capital funds in connection with formation, funding and internal partnership/joint venture matters, and the acquisition, financing, recapitalization, restructuring and disposition of portfolio companies and other investments. In addition, Ms. Kilmer represents corporations, partnerships and limited liability companies in connection with all aspects of their day-to-day operations, including SEC compliance work for publicly held entities; board of director representation; negotiation of contracts; and as issuers or investors in private placements of equity and debt securities. Prior to joining Brownstein, Ms. Kilmer was general counsel for a publicly held equipment lease financing company. She was in charge of all legal matters, including the negotiation of lease and leveraged lease transactions, acquisitions and dispositions of lease portfolios and SEC compliance and reporting for the corporation and five public income funds. |
