Jim's practice focuses on corporate representation of privately held clients, including mergers and acquisitions, and general counsel-type representation, with an emphasis in the creation, negotiation, maintenance, restructuring and termination of contractual relationships. Jim also specializes in sports and promotion law.
Jim has represented all types of entities, and associated management and owners, in a full range of corporate contexts and transactions, including formation; financing (secured and unsecured); executive and employee employment and benefit arrangements; purchase, sale and lease arrangements; reorganizations; liquidations; product and intellectual property distribution exploitation and licensing arrangements; sponsorship and promotional arrangements; general contracting; risk management; and dispute resolution.
Jim has significant experience with professional baseball-related clients. Jim provides comprehensive services for the Colorado Rockies Major League Baseball club, including drafting, reviewing and negotiating sponsorship, promotional, sweepstakes, ticketing, transportation, stadium use and player contracts and arrangements, as well as corporate and partnership transactions. Jim also provided co-representation of Liberty Media Corporation in connection with its May 16, 2007 acquisition of the Atlanta Braves from Time Warner Inc.
Jim also provides extensive services for other sports and entertainment clients in the areas of contracting and intellectual property, including drafting, reviewing and negotiating team, corporate and event sponsorships, and licensing, promotional, spokesperson, sweepstakes, affinity credit card, internet and facility contracts and arrangements. Jim also participates in dispute resolution with leagues and governing bodies. Among these clients are USA Hockey, Inc. (the national governing body for ice hockey in the United States); Vail Valley Foundation (who organizes World Cup and international skiing and snowboarding events at Vail and Beaver Creek in Colorado), USA Taekwondo, Inc. (the national governing body for taekwondo in the United States), USA Basketball (the national governing body for basketball in the United States), RockCorps, LLC (a national concert and event promoter) and Scholarship America, Inc. (a national education charity with national events).
Jim also represents clients in a variety of intellectual property matters, including the sale, purchase and licensing of intellectual property; brand management; combating unauthorized use of client's properties; and participating in dispute resolution.
Jim has had extensive experience in asset and stock sales and purchases, corporate reorganizations and recapitalizations, and national acquisition and rollup programs. He also has significant experience in the formation of incorporated and unincorporated entities. Jim has had broad experience in creating and analyzing complex corporate and contractual arrangements, and related documentation in regulated and unregulated contexts.
Jim provides or has provided ongoing general corporate representation and contracting services for Enterprise Rent-A-Car (an international vehicle renting and leasing company); CH2M Hill Inc. (an international engineering products and services company); Discover Resorts, Inc. (a national consolidator of property management companies); United General Title Insurance Company (a national title insurance underwriter); GeriMed of America, Inc. (a national managed care organization, physician practice management company and health care facility manager); and Fentress Bradburn Architects, Ltd. (a Denver-based architecture firm with an international practice). Jim has also represented US Bank in connection with the revision of its agreements for its national ATM and electronic banking services.
Jim provides promotional and sweepstakes services for a variety of clients, including The Schwan Food Company, Principal Financial Group, Fox Sports Net, Clear Channel Communications, Six Flags, Inc., Gander Mountain Company, and various sporting and entertainment companies.
Before attending law school, Jim was a practicing certified public accountant with the Los Angeles office of Ernst & Young, where he was a member of the firm's Entrepreneurial Services Group. His practice at Ernst & Young focused on tax compliance and consulting for emerging growth companies.
