Jeb's practice focuses on employee benefits. He represents employers and financial services providers (such as banks, trust companies, securities broker-dealers and investment advisers). In addition to his proficiency with their ERISA compliance matters, Jeb regularly handles employee benefit and executive compensation issues arising under federal and state tax laws, securities laws, discrimination laws, and wage-hour laws (including the Davis-Bacon Act and state prevailing wage statutes).Tax Advantaged Savings Programs. Jeb has worked extensively for financial service providers on many of tax advantaged savings programs, including the design and implementation of Traditional/Roth IRAs and Coverdell education savings accounts. He has prepared the customer account agreements, disclosure statements and administrative forms. In addition, Jeb helps those clients develop their customer communication materials. He also counsels the clients regarding federal and state tax and securities laws as well as other regulatory matters for the programs. Prototype Retirement Benefits Programs. Jeb regularly assists financial service providers in developing and administering the retirement plans they offer customers, such as IRS national office prototype pension and profit sharing plans, 401(k) plans, individual retirement arrangements (IRAs), simplified employee pensions (SEPs), elective salary reduction SEPs, (SAR-SEPs), SIMPLE plans, and tax-sheltered custodial accounts (Code � 403(b)(7) arrangements)).In addition, he counsels the providers in regard to compliance programs under ERISA, customer account agreements and investment advisory agreements, ERISA fiduciary standards and prohibited transaction rules, proxy voting procedures, tax reporting and withholding rules, and recordkeeping requirements. Employee Benefits Programs. Jeb handles the full spectrum of employee benefits and executive compensation matters, including traditional qualified pension and profit sharing plans, 401(k) plans, welfare benefit plans, and nonqualified executive compensation plans.Besides drafting plan documents and summary plan descriptions, Jeb helps clients design their benefit programs and develop employee communication materials. He also counsels clients in responding to the myriad day-to-day administrative issues that arise.He has extensive welfare benefit plan experience plans providing medical/dental, disability, dependent care, severance pay, and life insurance benefits. Many of the plans have included flexible benefit arrangements (Code � 125 cafeteria plans), insured and self-insured benefits, and voluntary employees� beneficiary associations (VEBAs).In the area of executive compensation, Jeb has drafted numerous nonqualified deferred compensation plans, bonus programs, and similar arrangements. He also has prepared rabbi trusts to fund them.Jeb assists clients in negotiating insurance company guaranteed investment contracts and bank investment contracts. He has guided buyers and sellers through the employee benefit aspects of business acquisitions and dispositions. He also has special expertise in certain areas that are not as common among employee benefits lawyers. For example: Stock-Based Plans. Jeb helps public and private companies implement and maintain employee stock ownership plans (ESOPs) which utilize common stock or convertible preferred stock. He frequently counsels employers, selling shareholders, trustees, and lenders in the full range of legal issues affecting ESOPs. He also has broad experience with other stock-based compensation arrangements, such as stock bonus, stock option, employee stock purchase, and phantom stock plans. Multiemployer Plans. Jeb represents the joint employer/union boards of trustees of multiemployer Taft-Hartley plans providing pension, health and welfare, vacation, and apprenticeship benefits. He also advises employers and trustees regarding the complex withdrawal liability issues under multiemployer pension plans.
