Mr. Cornelius is a Class II Director, has served as a Director of the Company since 2000 and has served as Chairman of the Company's Audit Committee since 2003. He served as a member of the Compensation Committee from 2000 to 2003. Since September 12, 2006, Mr. Cornelius has been serving as the Interim Chief Executive Officer of Bristol-Meyers Squibb. He has served as a director at Bristol-Meyers Squibb since early 2005. Mr. Cornelius was the non-executive Chairman of the Guidant Corporation board of directors, where he served as a director since 1994. Previously, he served as Executive Chairman of Guidant Corporation from 1995 until his retirement as an employee in 2000. Mr. Cornelius is also a director and Chairman of the audit committee of Chubb Corporation and a director and Chairman of the compensation committee and a member of the audit committee of Given Imaging Ltd. |
