James is an associate in the business law department and focuses his practice on corporate finance, mergers and acquisitions, and general corporate matters. He represents public and private companies, private equity funds and investment banking firms in public offerings and private placements of debt and equity securities, mergers and acquisitions, and a variety of financing transactions. James also advises boards of directors and senior management on corporate governance matters and on disclosure and compliance with federal and state securities laws and stock exchange matters.

Represented an investment bank as initial purchaser in a high-yield debt offering of $150 million senior unsecured floating rate notes.
Representation of a New York Stock Exchange listed company in connection with its corporate and securities matters.
Represented a global producer and marketer of specialty chemicals and salt in the $200 million sale of its United Kingdom subsidiary and in the sale of its domestic subsidiary.
Represented a chemical processing company in an exchange offer and consent solicitation relating to its $60 million senior convertible notes.
Represented international investment banks in numerous primary and secondary public offerings.
Represented a publicly-traded footwear manufacturer and distributor in a going private transaction via a reverse/forward stock split.
