Jim's practice includes merger and acquisitions, private equity and securities law.
Mergers and Acquisitions. Jim represents public and private buyers and sellers of stock or asset purchases, mergers, consolidations, tender offers, leveraged recapitalizations, change of control transactions, Hart-Scott-Rodino Act compliance and filings, joint ventures in venture formations and dissolution, and participants in management and leveraged buyout transactions.
Private Equity and Venture Capital. Jim advises private equity and venture capital firms in structuring, negotiating, and administering debt and equity investments in start-up and early and late stage companies, management and other leveraged buyouts, and capital injections. He assists companies seeking private equity, venture capital, or similar start-up or later stage investments. Jim advises parties in the structuring and formation of private equity and venture capital funds and represents investors in such funds.
Corporate Law. Jim counsels Delaware and Missouri corporations in connection with application of corporate statutes to mergers, acquisitions, shareholder meetings, and other procedural matters. He advises directors of public and private corporations with respect to fiduciary duties, business judgment rule, and indemnification issues. Jim counsels shareholders, owners, and investors in structuring terms of investment securities.
Securities Law. Jim advises clients on issues relating to the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, and the Investment Adviser Act of 1940.
Jim has a transactional practice that includes domestic and international business acquisitions, dispositions, and reorganizations; private equity and venture capital financings; securities offerings, and corporate law. He also advises public companies and has represented investment companies. Jim has been involved in the transactional aspects of a number of bankruptcies and non-bankruptcy workouts and liquidations. Jim is listed in the 2007 edition of Best Lawyers in America� in the area of Corporate Law.
