Jean (Jin Kyoung) Hong

Ms. Hong concentrates her practice in corporate finance, acquisitions/mergers and business law. She represents purchasers and sellers of businesses and advises clients regarding ongoing compliance with the rules of the Securities and Exchange Commission, including compliance with the Sarbanes-Oxley Act, as well as state securities bureaus and stock exchanges. This includes the preparation and review of periodic reports required to be filed by issuers of securities, such as forms 10-K, 10-Q and 8-K. She also assists clients in the preparation of proxy materials for shareholder meetings.
Ms. Hong also counsels clients in the formation and organization of a business or professional practice, including corporations, general partnerships, limited partnerships and limited liability companies. In addition, she provides business planning advice, including the preparation of shareholders' agreements for new and existing owners of corporations. She advises clients regarding ongoing business affairs, including contract review.

Prior to joining the firm, Ms. Hong worked at another New Jersey law firm representing clients in corporate, commercial and real estate litigations and transactions. She served a legal clerkship for the United Nations International Criminal Tribunal for the former Yugoslavia in the trial of Slobodan Milosevi?.
Ms. Hong is fluent in Korean.
