He represents national and international firms, across a variety of industries, in the structuring and negotiation of complex information technology outsourcing, business process outsourcing, offshore outsourcing, multi-process outsourcing, multi-source outsourcing, second-stage outsourcing, re-structuring, re-sourcing, and in-sourcing transactions.
Jeff also represents both buyers and providers of technology goods and services. His extensive experience includes licensing, maintenance and support, development, offshore development, ERP implementation, systems integration, ASP, OEM, hosting, hardware acquisition and maintenance and other marketing, distribution and strategic alliance transactions involving computer software, hardware and other high technology.
Notable Engagements:
Represented a global communications company in a global restructuring of its IT services outsourcing transaction for network services valued at over $7 billion and involving the transfer of employees in nearly 30 countries.
Represented a major manufacturer of heating, ventilation, and air conditioning products in structuring and negotiating two business process outsourcing transactions for engineering services with two Indian providers.
Represented a global bank in structuring and negotiating a business process outsourcing transaction for cashiering, custody, purchase and sales, margin, processing, and account transfer services.
Represented a major retail electric provider in structuring and negotiating an outsourcing transaction for CRM installation, implementation, and integration services valued at roughly $60 million.
Represented the State of Texas (acting through its Department of Information Resources) in a landmark outsourcing with IBM, which involved the consolidation and operation of data center operations for 27 state agencies and the establishment of a new data center in Austin, Texas. The $850 million transaction is the largest state government outsourcing transaction to date and prominently involved the application of current industry contracting practices to public sector transactions.
Represented a major electric utility in structuring and negotiating an outsourcing transaction for IT services valued at roughly $350 million, including a transformative ERP implementation.
Represented a major electric utility in structuring and negotiating a business process outsourcing transaction for field services valued at roughly $8.7 billion.
Represented a major power generation company in structuring and negotiating three business process outsourcing transactions for functions related to the operation of its nuclear power plants valued at roughly $1 billion.
Represented a major manufacturer and retailer of coatings and provider of related goods and services for decoration and preservation in structuring and negotiating an outsourcing transaction for CRM installation, implementation and integration services.
