John has over 20 years of experience providing public accounting services to public and private companies in various industries.
Professional Experience
Prior to joining Huron John was an audit partner at KPMG and Arthur Andersen. He has served clients in various industries including real estate hospitality construction printing healthcare technology and insurance. John has advised clients on numerous IPO merger and acquisition public and private debt placement and disposition transactions. In connection with these and other activities he has experience in evaluating complex structures and applying the appropriate technical accounting literature in areas that include: purchase accounting hedging and embedded derivatives stock based compensation real estate asset valuation and impairment profit and loss allocations in partnerships and international financial reporting standards.
Representative examples of John's engagement and transaction experience include:
Three IPO and five follow on common stock offerings as well as one roll up and one Form 10 going public registration. Responsibilities included assisting clients in responding to SEC comments and communicating directly with SEC staff as well as working directly with underwriters and client and underwriters' counsel.
Served on the engagement teams for 12 public companies including eight in the role of lead partner. Worked extensively with senior management and audit committees in this capacity.
Led engagement teams that implemented the requirements of section 404 of the Sarbanes-Oxley Act for the audits of three public companies.
Private and public placements of convertible debt and preferred securities which included evaluation of derivative features.
Acquisitions and dispositions of large portfolios of real estate assets including evaluating purchase and lease accounting gain on sale recognition and allocations of profits on sale to various owners.
Going concern evaluation real estate asset impairment and forecasting engagements that required preparation of cash flow analysis and evaluation of evidence of fair value.
