Practice
John Madden is Co-Managing Partner of the firm and a member of the firm's Executive Group and Policy Committee. Mr. Madden was head of the Mergers & Acquisitions Group from 1995 to 2001 and was co-head of the Group from 1987 to 1991. From 1991 to 1995, he was Managing Partner of the firm's European offices, practicing from the firm's Paris office. As a member of the firm's Mergers & Acquisitions Group, his practice involves assisting corporate and other clients with various kinds of M&A transactions, both negotiated and unsolicited, including tender and exchange offers, leveraged buyouts, takeover defense strategies, joint ventures, divestitures and cross-border transactions. He also advises corporate clients on various other corporate matters, including corporate governance issues.
Recent Experience
Mr. Madden has been involved in a broad range of M&A transactions, including the representation of DaimlerChrysler AG in its sale of 80.1% of Chrysler to an affiliate of Cerberus Capital Management, the representation of Saudi Basic Industries Corporation in its acquisition of the global plastics business of General Electric Company, the representation of Extended Stay America and of Boca Resorts in their respective sales to affiliates of the Blackstone Group, the representation of Cinram International in its acquisition of the Time-Warner music manufacturing business, the representation of Santa Fe International Corporation in its merger with Global Marine Inc. to form GlobalSantaFe Corporation, the representation of The Fuji Bank as majority shareholder of Heller Financial, Inc. in the sale of Heller to General Electric Capital Corporation, the representation of VNU in its acquisition of ACNielsen, the representation of Benjamin Moore & Co. in its sale to Berkshire Hathaway, the representation of Bell Canada International in various transactions, including the establishment of its joint venture with Telmex and SBC to form Telecom Am�ricas, and the representation of British Telecommunications plc in its acquisitions of Control Data Systems and Yellow Book and in its proposed merger with MCI Communications Corporation and its subsequent sale of its investment in MCI to WorldCom, Inc. Mr. Madden also represented Billiton plc in its acquisitions of Rio Algom and Worsley, WinStar Communications Corporation in its reorganization, BOC plc in its proposed merger with Air Liquide S.A. and Air Products and Chemicals Corp., Corning in its acquisition of Oak Industries, Rhodia S.A. in its acquisition of Albright & Wilson, Florida Crystals Corporation in its acquisition of Refined Sugars, Thyssen Industries in its acquisition of Dover Elevator Corporation, Continental AG in its acquisition of the brake and chassis system business of ITT Industries, Rh�ne-Poulenc in its merger with Hoechst to form Aventis, Banco de Investimentos Garantia S.A. in its acquisition by Credit Suisse Group, Federal Paper Board Company in its acquisition by International Paper, Munich Reinsurance Company in its acquisition of America Re Corporation, and Eckerd Corporation in its acquisition by J.C. Penney. Mr. Madden also regularly represents several leading investment banking firms acting as financial advisors in M&A transactions.
While resident in Europe, Mr. Madden participated in several major European privatizations undertaken as both securities offerings and M&A transactions, including the privatizations of Pechiney (state-controlled aluminum and packaging business) in France, divisions of Elf Aquitaine (state-controlled oil and gas, chemicals and pharmaceuticals business) in France, divisions of Rh�ne-Poulenc (state-controlled chemicals and pharmaceuticals business) in France, and OMV (state-controlled oil and gas business) in Austria.

Mr. Madden is a member of The Association of the Bar of the City of New York, the American Bar Association and the International Bar Association. He is also a board member of the World Policy Institute.
