John M. Callahan is a partner in the law firm of McDermott Will & Emery LLP, where his practice focuses on mergers and acquisitions in the health services and life sciences industries.
John has developed a national reputation for representing health systems, private equity funds, life sciences companies and other entities in the acquisition and divestiture of businesses and business lines. His unique focus on both corporate law and on health regulatory law has given him an unusual and important knowledge that is critical to the successful negotiation of health industry transactions. In his capacity as deal counsel, John has handled some of the most high-profile capital markets transactions within the health sector to date, as well as a variety of change-of-control transactions designed to address the strategic positioning needs of private and non-profit entities.
Given his knowledge of the industry, John also has provided strategic and legal advice on a variety of operational issues unique to health care companies. This has included advice related to the creation of unique business ventures and treatment modalities that require federal or state oversight or authorization, as well as cutting-edge legal structures for the development of linear particle accelerators and proton therapy ventures.
Both inside and outside of the health care industry, John has been recognized for his knowledge in developing and negotiating complex, multi-party contracts that document unusual or unique business relationships between the contracting parties. He also has been active in advising clients on corporate governance and compliance issues, as well as on wholesale reorganizations of corporate systems.
In 2008, John was recognized as a "Rising Star" by Law & Politics magazine. He is an Associate Professor of Law at Loyola University of Chicago, where he has taught contracts as part of the Health Law Institute. John also has guest-lectured on health transactions at Northwestern University's Kellogg Graduate School of Management.
In addition to frequent speaking engagements across the country, John has authored articles that have appeared in the Journal of Health Care Finance; Healthcare Financial Management; R&D Magazine; Bender's Health Law Monthly; International News; Outsourcing Essentials; Provider Magazine; and Nursing Homes Long Term Care Management. He is a member of the American Health Lawyers Association and the American, Illinois and Chicago Bar Associations.
