John Kandravy is a partner in the Corporate and Securities Practice Group with extensive experience as a business lawyer in transactional matters and general corporate counseling.
Mergers and Acquisitions. John has represented publicly held and privately owned companies in the acquisition and sale of businesses engaged in a broad range of activities, including manufacturing, distribution, health care, banking, insurance, consulting and other services. He has also represented public and private companies in the formation of joint ventures and strategic alliances with other business entities.
Financing Transactions. John has represented institutional lenders and corporate and other borrowers in secured and unsecured loan transactions. He has also represented issuers in private placements and public offerings of equity, debt and convertible securities.
General Corporate Counseling. John provides general counseling and representation to private proprietorships, partnerships and limited liability companies as well as publicly owned and privately held corporations engaged in a wide variety of industries in connection with the operation of their businesses, including contractual, financing, executive compensation and corporate governance matters. He has also counseled publicly owned corporations on the design and implementation of shareholder rights plans and other anti-takeover measures. Additionally, he has considerable experience in tax, securities and health care related matters.
In General. John is a member of the Essex County, Morris County, New Jersey State, District of Columbia, and American Bar Associations.
He has considerable experience as a corporate director and currently serves as a director of a business corporation and a hospital-related insurance company. He also presently serves or has served on the boards of numerous governmental, charitable and other organizations, and is listed in Who's Who in America. |
