John O'Connor Biography :

Resident in the London office since 1997, John O Connor practice focuses primarily on the representation of European clients in a variety of sectors, including several major international investment banks, on matters involving a range of practice areas, including: Securities Corporate Governance Structured Finance Mergers & Acquisitions Financial Institutions Mr. O Connor has extensive experience representing issuers and underwriters in equity and debt offerings, both SEC-registered and exempt (including under Rule 144A), and has advised on numerous initial public offerings, including in the form of securities offerings, demergers, spin-offs and privatizations. In addition to his transactional practice, Mr. O Connor regularly advises European clients on general corporate matters, including the preparation of annual and other periodic reports, and on issues arising under the Sarbanes-Oxley Act and other US laws. Among his ongoing corporate clients are Bank of Ireland, Barclays, Espirito Financial Group, Philips and Standard Chartered. Prior to relocating to London, Mr. O Connor practiced in the Firm s New York, Paris and Melbourne offices. Selected Transactions Securities Goldman Sachs (US) in connection with numerous offerings and listings in various EU jurisdictions, including in the UK, Luxembourg and Italy The underwriters in several billion-dollar debt offerings by Telecom Italia (SEC-registered and Rule 144A) The underwriters in the $1.1 billion IPO of eircom (Ireland) (Rule 144A) Financial Institutions Bank of Ireland in its $1.2 billion Tier One capital securities offerings Barclays in its $750 million and $1 billion Preference Share offerings (SEC-registered) Standard Chartered in its $2 billion equity offering (including US private placement) M&A Intercontinental Hotels in connection with the demerger of the hotels and pubs businesses Philips in connection with several public and private dispositions of interests in affiliated companies Structured Finance Numerous transactions for major international investment banks
