BACKGROUND: Joseph is admitted to practice in both Florida and New York. He is a graduate of Brooklyn Law School (J.D., 1980) and St. John's University (B.A., 1977). EXPERIENCE: Joseph concentrates his practice in Securities and Corporate Law, representing companies in all facets of corporate planning, financing, transactions and governance. His experience includes drafting, negotiating, preparing and closing private placements; preparing and filing registration statements, Exchange Act reports and proxy material with the Securities and Exchange Commission "SEC"; counseling clients with regard to compliance with the various SEC reporting regulations and disclosure requirements; and representing clients in business combinations, including stock and asset acquisitions and sales. He has served as General Counsel to a publicly traded company for several years with responsibility for securities, corporate, financing, business planning and other matters, including overseeing litigation conducted by outside counsel. Joseph has also represented underwriters in tax exempt municipal bond financings.
