Experience:
Joseph Organ works on financial transactions and products, includinga variety of securities offerings, including securitizations, tax-exempt bond financing for low income apartment housing projects and other projects; loan participations; convertible debentures and stock; original issue discount obligations, such as "Liquid Yield Option Notes"; equipment trust notes; foreign currency denominated offerings; interest rate and currency swaps and caps; receivable sales; and securitizations and REMICs. He also works on international transactions, including offshore investment funds, cross-border stock and debt offerings, cross-border acquisitions and investments, and cross border securitizations. He counsels corporations, including S corporations, on various issues including mergers and acquisitions and 501(c)(3) organizations on issues with respect to 501(c)(3) status and unrelated business taxable income and tax-exempt bond financing. He provides federal income tax advice and structuring for commodity and security investment partnerships and limited liability companies, commodity and security management and advisory companies, regulated investment companies, REITs (including UPREITs), and real estate and other partnerships.
