Joseph Bauerschmidt, Of Counsel, in Milbank's Hong Kong office, has 15 years of capital markets experience, spanning more than 150 deals. Joe's principal focus has been on securities offerings in the public and private capital markets representing leading international investment banks as well as corporate issuers.
Joe spent the first half of his career on Wall Street, where he completed more than 40 SEC-registered offerings and many high-yield debt offerings and refinancings. In Asia, Joe has worked on nearly one dozen proposed and completed NASDAQ IPOs and more than 30 complex high-yield financings.
He has been recommended by AsiaLaw 500, Chambers Global and Chambers Asia publications. His published article "Mother of Mercy - Is this the End of Rico?" - Justice Scalia Invites Void-for-Vagueness Challenge for RICO "Pattern", has been cited approvingly by the First, Third, Sixth and Seventh Circuit Courts of Appeal. He is a regular lecturer on securities offerings and related topics, including appearing on InvestoRegulation's annual panel alongside SEC Staff members and other leading Hong Kong private practitioners. He has also appeared on IFLR's securities law panel in Hong Kong.
Joe has been called "an outstanding high-yield player" with "vast experience" in the sector by Chambers Asia 2007 and was ranked in the "Band 1" tier of lawyers by Chambers Asia and Chambers Global 2008 in this practice area. He has advised issuers and underwriters in structuring and negotiating high-yield bonds in China, Macau, Hong Kong, Thailand, Korea, Singapore, Malaysia, India and Vietnam in Asia as well as Mexico, Canada and the United States.
Joe has regularly worked with oil and gas and oilfield service companies on Wall Street including UPR, Columbia Oil & Gas, and PetroCanada and since coming to Asia has worked on transactions including PTT, Petronas, MISC, PetroVietnam, PT Medco, Bangchak Petroleum, Essar Oil, BHP and SingaporeGas. In addition to his legal qualifications, Joe is a graduate chemical engineer and spent six years in the oil industry with Schlumberger Limited in North America and Europe.
Joe also specializes in banking sector deals, having worked on more than 30 capital markets offering for financial institutions. Among the more notable Asian transactions were representation of Oversea-Chinese Banking Corporation Limited in its US$2.18 billion Upper Tier II subordinated debt offering, which was named Finance Asia's deal of the year in 2001, and the underwriters of Siam Commercial Bank's US$1.75 billion equity offering in 1999, which was named worldwide deal of the year by Euromoney and worldwide equity deal of the year by IFR and Institutional Investor. Other award winning financial institution deals from Asia in which he participated include offerings by Krung Thai Bank and Fubon Financial Holding Co., Ltd.
Joe received his B.S. in Chemical Engineering from the University of Michigan and his J.D. degree from the University of Notre Dame (magna cum laude), where he was Executive Editor of the Notre Dame Law Review. |
