Mr. Cannella has an extremely diverse corporate practice, with an emphasis on corporate, securities matters, mergers and acquisitions. His experience includes representation of both issuers and underwriters in private placements, and initial and secondary public offerings of securities. He has extensive experience in acquisitions and dispositions requiring compliance with proxy rules and other security laws; going private transactions; offerings; exchange offers; takeovers and reverse acquisition. Prior to attending law school Mr. Cannella was awarded a Masters Degree in Business Administration and subsequently, an LL.M. in Taxation from Georgetown University. Mr. Cannella also has substantial expertise in Federal Income Tax matters having commenced his legal career at the office of Chief Council, Internal Revenue Service in Washington D.C., where he served from September 1977 to March 1982. As a result of Mr. Cannella's extensive background in corporate, business, tax and securities matters, he has provided general counseling and transactional advice to a diverse clientele in virtually every aspect of their business.
