Joseph Sollee Biography :

Joe is a special counsel in the business law department and concentrates his practice in the life sciences arena. Having spent much of the past decade as an executive in the life sciences industry, Joe brings an invaluable perspective and solutions-oriented focus to his practice. He has represented a broad spectrum of life sciences clients, with a focus on strategic licensing, corporate partnering, financing, mergers and acquisitions, corporate governance, regulatory and other business and securities law matters. In that context, he advises domestic and international pharmaceutical, biotechnology, diagnostics and medical device, clinical research service and other life sciences companies.

Prior to joining Kennedy Covington, Joe served as Group General Counsel for Oncomethylome Sciences, a publicly-traded multinational biotechnology company (EuroNext: ONCOB) with offices in Belgium, Amsterdam, and Research Triangle Park, NC, guiding the company from its inception through a range of global alliance transactions with top-tier pharmaceutical and biotechnology partners. Joe continues to represent OncoMethylome, providing guidance in the negotiation and management of alliances, collaborations and technology transfer arrangements with commercial and academic institutions on an international level.

Prior to OncoMethylome, Joe served as senior counsel with Triangle Pharmaceuticals, Inc., an RTP-based company developing antiretroviral drugs to treat HIV, and later as General Counsel and Vice President of Business Development at TherapyEdge, Inc., a spin-out from Triangle Pharmaceuticals, focusing on the development of clinical information technologies for the treatment of chronic diseases. Before entering the life sciences industry, Joe practiced corporate and securities law in Washington, D.C., and worked with the investment banking group of Smith Barney, Inc. in New York, NY.

Representative Matters

Life Sciences: Established leadership and industry experience in the life sciences sector, serving a broad range of clients in the fields of biotechnology, pharmaceuticals, diagnostics, drug discovery, healthcare informatics, bioinformatics and biomanufacturing, with particular expertise in representing mid-sized and emerging growth companies in the following areas.

Pharmacogenomics: Negotiation of worldwide collaboration and license between a molecular diagnostics company and large pharma company regarding co-development of theranostics (companion diagnostic) product. Experience with intellectual property, tech transfer, research and development and regulatory aspects particular to pharmacogenomics industry.

Drug Discovery, Development & Commercialization: Negotiation of $300 million global pharmaceutical collaboration, with continuing co-development, co-marketing and profit-split rights. Representation of Indian drug discovery and development company.

In-Vitro Diagnostics: Negotiation of range of product and technology licensing and development agreements with top-tier IVD companies. Oversight of complex intellectual property portfolios regarding molecular diagnostics technologies.

Clinical Research: Broad-based experience with the clinical trial management in the pharmaceutical, diagnostics and pharmacogenomics fields, including negotiation and oversight of trial site agreements, master study agreements (CROs), central lab services, data capture and management, institutional review boards, and regulatory compliance.

Regenerative Medicine: Representation of emerging growth companies engaged in the multidisciplinary field of regenerative medicine, including tissue engineering, stem cell research, nanobiotech, and biomaterials.

Corporate: Strategic and operational understanding of the legal, financial and commercial aspects of corporate development and transactions, with experience working in the investment banking sector, at an executive level in industry and as a securities and corporate attorney.

Venture Financing: Negotiation of numerous venture capital funding transactions, representing both venture funds and portfolio companies.

Securities: Represented international telecommunications company in its $45 million initial public offering.

Mergers & Acquisitions: Represented surviving company in $1 billion merger with NYSE-listed company. Represented purchaser in acquisition of $5 billion commercial mortgage company.
