Judy Reich focuses her professional practice on banking, bankruptcy and creditor-debtor relations law.
Banking. Since joining the firm, Judy has negotiated and documented all types of commercial loan transactions, from widely syndicated, multicurrency credit facilities to fully secured asset-based loans, for Bank of America, N.A., Wachovia Bank, National Association, CIT Lending Services Corporation, Citizens Bank and M&T Bank. In addition, she has also represented lenders in the restructuring and modification of secured, unsecured, asset-based, real estate, construction and subordinated loans. Judy counsels banks on the structuring of credit facilities and related issues.
Mezzanine Lending. In addition to representing senior lenders, Judy has also represented subordinated lenders in numerous financing transactions. Judy drafts and negotiates loan and security agreements, debt and equity purchase agreements and warrant agreements for Spring Capital Partners, L.P. and Alliance Mezzanine Investors, L.P. She also has counseled mezzanine lenders in workout and bankruptcy proceedings.
Workout/Bankruptcy. Judy represents secured and unsecured lenders, trade creditors and debtors in out-of-court workouts and restructurings, and in the bankruptcy courts for the District of New Jersey, the Eastern District of Pennsylvania, the District of Delaware and the Eastern District of Maryland. She has also negotiated and documented post-petition credit facilities for lenders. Judy provides advice to creditors and debtors regarding bankruptcy and litigation concerns, including counseling creditors on protecting their position, maximizing their recovery and minimizing their exposure to borrower lawsuits based on lender liability causes of action.
Representation of Borrowers. Judy represents a number of private equity investors in structuring, negotiating and documenting financing agreements with senior and subordinated lenders usually in connection with the acquisition of portfolio companies. Judy also represents public and private companies in connection with senior and subordinated debt facilities and in the restructuring of debt.
In General. Judy is a partner in the firm's Corporate and Securities Practice Group. She is a member of the American Bar Association Business Law Section, the New Jersey Bar Association Bankruptcy Law Section, the New Jersey Bar Association Banking Section and the Eastern District of Pennsylvania Bankruptcy Conference. |
