Neil K. Haimm is a partner in the Corporate and Securities Practice Group and a managing partner of the firm. He has been a corporate lawyer for more than 20 years. Neil's practice focuses primarily on acquisitions and divestitures, joint ventures and other strategic transactions and venture capital and private equity investments. Acquisitions and Divestitures. Neil represents middle market companies and private equity funds in merger and acquisition activities. Recent acquisition and divestiture transactions include the representation of a medical imaging company in a $140 million sale to a strategic buyer, business process outsourcing company in a $100 million dollar sale to a private equity firm, a basketball apparel company in its $50 million merger with a strategic buyer, the $125 million sale of a distance learning company to a financial buyer and the $15 million dollar acquisition by a strategic buyer of a software company.
Joint Ventures and Strategic Transactions. Neil represents middle market companies in the formation of joint ventures and in other strategic transactions. In recent years, he has represented a foreign client in connection with the formation of a joint venture to market and distribute pharmaceutical products in the U.S. and a U.S. client working with a foreign retailer to develop a retail store chain in the United States. Neil has also negotiated and structured the unwinding of several joint ventures in the automotive industry. In addition, Neil has negotiated and documented several in licensing transactions for a specialty pharmaceutical company with transaction values in excess of $500 million.
Venture Capital and Private Equity. Recent venture capital and private equity transactions that Neil has engaged in include representation of a venture firm focused on industrial technology in six portfolio investments, representation of a private equity firm in an expansion capital investment in a for-profit education company and representation of an investment firm in an early stage investment in a specialty insurance company. Neil has also represented sponsors in the formation of venture capital, private equity and real estate funds.
Background. Neil received his law degree and master's in taxation from New York University School of Law. He graduated from the University of Pennsylvania magna cum laude. Neil is admitted to practice law in New York, New Jersey and Pennsylvania. He is a director of the Golden Slipper Senior Center, a center serving needs and sponsoring activities for seniors. He is also on the permanent advisory board of Golden Slipper Charities, a Delaware Valley based philanthropy. Neil is also a member of the board of directors of the Association for Corporate Growth in the Philadelphia Region. |
