Professional Experience
Since 1985, Ms. Privett has represented clients in connection with a wide variety of complex transactions, particularly in the areas of real estate, secured financing and corporate law. She has been lead counsel with respect to hundreds of transactions, and has substantial experience in structuring, negotiating and closing acquisitions and dispositions of real and personal property; sale/leaseback transactions; option arrangements; rights of first refusal and/or first offer; secured and unsecured loans; commercial, retail and industrial leases; formation of corporate, partnership and limited liability entities; loan workouts and restructurings; and voluntary and involuntary real and personal property foreclosures and deeds in lieu of foreclosure. Prior to joining our firm, Ms. Privett was Senior Vice President, General Counsel and Secretary to a publicly-traded real estate investment trust.
Ms. Privett has extensive expertise in commercial loan transactions, and she has represented both lenders and borrowers in connection with financing of real property, business ventures and personal property, including construction loans, permanent financing, conduit lending, venture capital transactions, bridge loans and lines of credit. She has handled transactions relating to every phase of real property acquisition, development, ownership, leasing and disposition, and regularly advises clients concerning the due diligence aspects of their deals.
Ms. Privett has been involved in the formation and maintenance of numerous corporations, general and limited partnerships, joint ventures and limited liability companies. She has substantial experience in handling equipment leasing and finance transactions, asset and stock sales of going concerns, and the structuring and drafting of commercial contracts and letters of intent. Ms. Privett has also played a key role in the formation, financing and development of several business ventures, and she has participated in initial public offerings, including the structuring, negotiating and closing of IPO-funded property acquisitions and leases.
